Terms of Service

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts under Swedish law. The Service is intended for professional use by VC firms, investment professionals, and their portfolio companies.

3.2 Account Registration

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.1 Subscription Plans

The Service is provided on a subscription basis. Pricing, features, and terms for each subscription plan are outlined in your separate subscription agreement or order form.

4.2 Payment

Subscription fees are payable in advance and are non-refundable except as expressly provided in these Terms or required by applicable law. All fees are exclusive of applicable taxes, which you are responsible for paying.

4.3 Price Changes

We reserve the right to modify subscription fees with 30 days' prior written notice. Price changes will apply to subsequent billing cycles.

5.1 Permitted Uses

You may use the Service solely for legitimate business purposes related to venture capital activities, investment analysis, and portfolio management.

5.2 Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or activity
• Upload or transmit malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Copy, modify, or create derivative works of the Service
• Use the Service to compete with us or develop competing products
• Share your account credentials with unauthorized third parties
• Violate any applicable laws, regulations, or third-party rights

7.1 Our Rights

The Service and all content, features, and functionality are owned by Auryn AB and are protected by Swedish and international copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you.

7.2 Your Content

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and process such content solely to provide the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without restriction or compensation.

9.1 Availability

We strive to maintain high Service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect Service availability.

9.2 Support

Support services are provided according to your subscription plan and our then-current support policies. Support may be modified or discontinued at our discretion.

10.1 AI and Investment Recommendations

The Service includes AI-powered features that provide analysis and recommendations. These are for informational purposes only and do not constitute investment advice. You are solely responsible for your investment decisions.

10.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.1 Term

These Terms commence when you first access the Service and continue until terminated in accordance with this section.

13.2 Termination by You

You may terminate your account at any time by following the account closure process in the Service or by contacting us. Termination does not relieve you of payment obligations for the current billing period.

13.3 Termination by Us

We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees, or if required by law. We may also terminate with 30 days' notice for convenience.

13.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data according to our data retention policies, subject to legal requirements and your data protection rights.

14.1 Governing Law

These Terms are governed by and construed in accordance with Swedish law, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively by the Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.

14.3 Arbitration (Optional)

By mutual agreement, disputes may be resolved through arbitration under the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce, with proceedings conducted in English in Stockholm, Sweden.

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any separate subscription agreement, constitute the entire agreement between you and us regarding the Service.

16.2 Modifications

We may modify these Terms by providing 30 days' notice via email or the Service. Your continued use after the effective date constitutes acceptance of the modified Terms.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Language

These Terms are prepared in English. In case of any translation, the English version shall prevail in case of conflict.
